1) Supply and Purchase of Goods.Supplier may sell and Lennox may purchase goods as more particularly described on the attached Schedule 1- Products and Pricing (the “Goods”) in accordance with the terms of this Agreement.This Agreement itself does not establish any commitment by Lennox to purchase Goods or services from Supplier except,and only to the extent,as specifically provided herein.This Agreement replaces any existing Master Purchase and Supply Agreement regarding the Goods that may exist between the parties.It should be noted that this Agreement only replaces existing Master Purchase and Supply Agreement for the Goods listed on Schedule 1.
(a) Starting on August 1,2008 and at four month intervals thereafter,the prices for Goods shall be reviewed and,based on market indices described below,adjusted as necessary (“Market Adjusted Pricing”).Market Adjusted Pricing,if any,shall implemented on January 1,May 1,and September 1 of each year and the adjusted pricing shall valid for the following four month period.
(b) Market Adjusted Pricing shall only be implemented if and when the combined cost of Copper and Aluminum necessary to produce the Goods reflects a combined increase or decrease of + (-) 3%; as noted in the Copper + Electrical Steel + Aluminum Total Price on Schedule 1.The determination of combined cost shall be made by reference to the average cost of the material for the preceding four months as reflected in the LME ( London Metals Exchange),Shanghai Future Exchange,and the Electrical Steel Index.
(c) In addition to the foregoing,the parties will discuss each four months the price impact associated with fluctuations in Exchange Rate (the exchange calculation will be based on the average of the month close date prior to review period,for example average of March,the average of July,the average of November) ,Chinese Tax Rebate (VAT),USA Import Tax,and Sea Freight.
(c) Total Cost Improvement In addition to the savings listed in 11 (a)+(b) ,Baoli will guarantee a cost reduction to the FIXED cost components including:Miscellaneous Material Cost (for purposes of clarity,this shall include all material not subject to the Market Adjustment Pricing mechanism in Section 3)+ Seller Overhead + Seller Profit on each good as listed in Schedule 1.Baoli will guarantee a 3-5% reduction in these costs in 2010 and an additional 3-5% reduction in 2011 to the FIXED cost component as mentioned above.To determine the exact cost reduction rate between the range of 3-5%,the Seller shall provide all costs or profits that apply to the FIXED cost components.Should the Seller fail to provide all or sufficient data then 5% will be selected,as the guaranteed reduction rate.
