16.3 Use of Data.Owner agrees that it shall not use the drawings,documents,computer software,engineering and other data set out under Section 25 (Intellectual Property) in the construction of any facility other than the Facility.Owner acknowledges that it may be required to enter into certain license agreements,which shall be provided by Supplier at no additional cost to Owner,with regard to k the use of Supplier or Subcontractor proprietary computer software.
16.4 Duty of Care
(a) Notwithstanding that title to any of the Supply Obligations may have passed to Owner,Supplier shall bear the risk of delay,defect in,loss of or damage to the Supply Obligations from the Notice to Proceed Date until the earlier of (i) the time at which the Offshore Equipment and Supplies or any other Supply Obligations passes the ships rail at the port of loading on a vessel destined for Thailand or,where some other mode of transport is utilized,when first placed into the hands of the carrier providing such mode of transport which is destined for Thailand or to an interim port or other transport interchange for onward carriage to Thailand or (ii) the termination of this Contract.
(b) Subject to the terms and conditions of the Financing Documents,all proceeds of any insurance maintained pursuant to Sections 21.2 (Owner-Furnished Insurance) that do not exceed [25,000,000] Dollars (USD [Twenty Five million]) in respect of any one (1) claim shall be paid directly to Supplier,to the extent of its interests,as loss payee in or towards the replacement and repair of any Supply Obligations lost,damaged or destroyed,provided that (a) Supplier shall provide sufficient evidence of its ability to replace or repair such Supply Obligations with such insurance proceeds,and (b) all such insurance proceeds must be applied to such replacement or repair Supply Obligations.For the avoidance of doubt,Owner shall use commercially reasonable efforts to obtain the agreement of the Financing Parties for the payment of such proceeds of Supplier.All proceeds of any insurance maintained pursuant to Section 21.2 (Owner-Furnished Insurance) that exceed [25,000,000] Dollars ((JSD [Twenty Five million]) in respect of any one (1) claim shall be paid directly to Owner and/or the Financing Parties.To the extent any proceeds from the insurance maintained by Owner pursuant to this Contract (or any other substitute payments made by Owner) are not made available to Supplier by Owner and/or the Financing Parties for the purpose of replacing or repairing such lost,damaged or destroyed Supply Obligations,Supplier shall be excused from responsibility for such replacement or repair and shall be entitled to a Change Order if the requirements of Section
14.2 (Adjustment Due to Changes) are met.
