The Parties hereby acknowledge that the items to which we have agreed pursuant to this Agreement are of a special,unique,unusual,extraordinary and intellectual character which gives them an peculiar value,the loss of which cannot be reasonably or adequately compensated in damages,and a breach of any of the provisions contained in this Agreement will cause either Party irreparable injury and harm.Accordingly,the Parties hereby expressly agree that both Parties shall be entitled to injunctive or other equitable relief to prevent a breach of the obligations pursuant to this Agreement.Resort to such equitable relief,however,shall not be construed to be a waiver of any other rights or remedies which the Parties may have,including,but not limited to,monetary damages pursuant to law.
The Parties further assume liability for damages arising from the unauthorized use or disclosure of the Proprietary Information by employees or agents who,subsequent to the date of first disclosure of the Proprietary Information hereunder,become former employees or agents.The Parties agree to take all reasonable measures,including,but not limited to,court proceedings,at their own expense,to restrain employees or agents or such former employees or agents from unauthorized use or disclosure of the Proprietary Information.
