1.The Parties agree that the Prerequisites shall provide a minimum framework of commercial terms.Supplier or Supplier’s subsidiaries and A company or any A company’s subsidiary may have entered into agreements containing commercial terms more favorable for A company or the respective subsidiary of A company than these Prerequisites.
Such more favorable commercial terms shall remain unaffected.
2.Payment terms shall be 90 days net with payment released the first working day of the month following the month where the payment is due as of receipt of products at destination or receipt of invoice whichever occurs later.If the Parties have agreed on a consignment stock payment terms shall commence upon withdrawal of products.
3.The Parties will negotiate prices subsequently to the execution of these Prerequisites.Once confirmed and initialed by both Parties,any price agreement shall become an annex to these Prerequisites and form an integral part thereof.The prices set out in the price agreement shall be maximum prices and will be effective for all deliveries worldwide completed as of 01.10.2010 until the Parties enter into a subsequent price agreement.

（一）、双方一致同意,所签订的‘前提条件’（Prerequisites）应以一般的商业条款为基本框架.供应商与A公司或各自的任何下属公司也许已签署了协议,如果其中的商业条款比这些前提条件对A公司或其下属公司更有利；这些有利条款将被保留不受影响.
