Closing procedures for the transaction:
1. Party A and Party B sign Memorandum of Agreement (MOA). Party B will
submit to Party A the Corporate Resolution, Authorization of Signatory,

a Master Fee Protection Agreement to be attached with the LOI/Contract.

the RWA, will instruct his corresponding bank, University Bank U.S.A., to swift
MT760 (Appendix C) Standby Letter of Credit to Party A Bank.
