17.Either party may terminate this Agreement by giving one (1) day written notice to the other (except if termination is for cause under paragraphs 7,14 and 15 hereof,in which event termination shall occur upon notification of IB by CMS),but without prejudice to commissions earned or to be earned by trades executed for Introduced Clients in effect at the date of termination.Such commissions will continue to be paid to IB under the terms of this Agreement to the end of the month of termination,except if termination is for cause under paragraphs 7,14 and 16 hereof,in which event all payment of commissions to IB,and IB's right thereto,shall immediately cease upon termination.
18.IB acknowledges it will comply with all current and prospective rules and regulations promulgated by all relevant regulatory bodies.
19.IB shall adopt and implement CMS’ Customer Contact and Promotional Material policy.
20.In the event that an Introduced Client who opened a trading account with CMS and then refused to work with an IB or recognize an IB as his IB in any or all future transaction(s) and acknowledges this decision in writing,such client cannot be considered as an Introduced Client of any other IB.No other IB can claim such client as his own client.
21.IB shall have no right to receive referral credit for clients that fail to specify the IB in the application process.CMS shall not give referral credit to IB for new accounts opened by existing CMS clients.
22.IB shall have no right or- claim to,or ownership interest in,the proprietary information of CMS.IB specifically acknowledges that the information imparted by CMS to IB is confidential to CMS and has been developed by CMS through the expenditure of substantial skill,time,effort and money.IB will not publish,distribute,or otherwise make available to third parties any information derived from or relating to any copyright,trademark,trade secret or other intellectual property rights belonging to CMS without the prior written approval of CMS.IB will not copy,modify,de-compile,reverse engineer,or make derivative works of the above material or intellectual property.
23.IB is prohibited from introducing clients for any individual or entity that may be regarded as competition to CMS without written consent from CMS.
24.IB is prohibited from leading the client to believe that IB is endorsed by the NFA and/or the CFTC.
25.IB shall be aware,and make his/her Introduced Clients aware,that no third party transactions are accepted by CMS.
